REFERRAL PROGRAM TERMS & CONDITIONS

Thank you for choosing goPeer for your financing needs. Do you know someone who could benefit from goPeer? Our Referral Program, detailed below, rewards past and current customers who refer a new customer to goPeer.

Terms and Conditions

• For the purpose of this Terms & Conditions, all references to:
  1. “Reward” means any reward earned by Referrer or Referee, as applicable, in accordance with the terms of this Referral Program.
  2. “Good Standing” means (i) there is no record of any late and unpaid payments due and (ii) no unpaid charges or fees.
  3. “goPeer” means goPeer Corporation.
  4. “Notes” means payment dependent notes issued by Peer Capital Corporation pursuant to the offering memorandum dated August 10, 2020.
  5. “Referral Program” means the referral programs set forth in this Terms & Conditions.
  6. “Referee” means the who is receiving a referral.
  7. “Referrer” means the individual who is making a referral.
  8. “Verified” means goPeer has verified the identity of such individual and such individual has passed all suitability requirements, as determined by goPeer in its sole discretion.
• A Referrer will not be eligible for any of the rewards below if:
  1. such Referrer refer themselves by setting up a new goPeer account, including without limitation, by setting up a new goPeer account using a different email address, nickname or alias;
  2. the Referee is an existing customer of goPeer.
• Referee must sign up using the referral link provided by the Referrer prior to setting up their new goPeer account.
• No Reward will be given to Referrers and Referees residing at the same address.
• goPeer reserves the right to amend, withdraw, discontinue, terminate or extend any or all elements of the Referral Program at any time by changing the terms of this Terms & Conditions.
• In order to protect customer privacy, goPeer cannot provide any information about the status of Referee’s account.
• You are responsible for payment of any income or other taxes due as a result of the Reward having been paid to you.
• This Referral Program is valid from November 1^st, 2020 until December 31^st, 2020, unless otherwise extended by goPeer in its sole discretion.

Program Details

A. INVESTORS REFERRING INVESTORS

In addition to the General Terms and Conditions, above, the Eligibility Criteria and Reward set forth in this Section A shall apply when the Referrer has an existing investor account on goPeer’s online platform (https://gopeer.ca/) (the “goPeer Platform”) and the Referee does not have an existing account on the goPeer Platform at time of referral.

Eligibility:

• Referrer’s account must be Verified prior to making a referral, and in Good Standing.
• The Referee must fund their account on goPeer’s platform with a minimum of $1,000 and purchase at least $1,000 in Notes (as defined in the offering memorandum of Peer Capital Corporation) within 180 days of the date that such Referee’s account is Verified.

Reward:

• $30 Reward which will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.  
• Each of the Referrer and Referee will receive the Reward.
• No alternative or substitution will be made for Rewards awarded as part of this Referral Program.

Claiming Earned Rewards:

• The Reward will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• The Reward may be used to purchase Notes or can be withdrawn from such Referrer or Referee’s account, as applicable, and into the bank account at such financial institution that is linked on such Referrer or Referee’s goPeer account.

B. BORROWERS REFFERING BORROWERS

In addition to the General Terms and Conditions, above, the Eligibility Criteria and Reward set forth in this Section B shall apply when the Referrer has an existing borrower account on the goPeer Platform and the Referee does not have an existing account on the goPeer Platform at time of referral.

Eligibility:

• Referrer’s account must be Verified prior to making a referral, and in Good Standing.
• Referee must be approved and have an active loan on goPeer, and maintain a Good Standing until after the first payment due .
• The Referee is not a resident of Manitoba or Québec

Reward:

• $30 Reward which will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• Each of the Referrer and Referee will receive the Reward.
• No alternative or substitution will be made for Rewards awarded as part of this Referral Program.

Claiming Earned Rewards:

• The Reward will be automatically added to each of the Referrer and Referee’s account in accordance with the below:
  • The Referee’s Reward will be added to their subsequent loan payment after the satisfaction of all eligibility criteria, provided that such account is in Good Standing.
  • The Referrer’s Reward will be added to their subsequent loan payment, upon the satisfaction of all eligibility criteria and provided that the Referee’s account is in Good Standing.
    • Example:
      • Payment (no Reward): $100 ($10 interest + $90 principal)
      • Payment (with Reward): $130 ($10 interest + $90 principal + $30 principal paid by goPeer)
• If the Referrer has no active loan on the goPeer platform, the Reward will be added onto their goPeer account and may be withdrawn from such Referrer’s account and into the bank account at such financial institution that is linked on the Referrer’s goPeer account.

C. INVESTORS REFERRING BORROWERS

In addition to the General Terms and Conditions, above, the Eligibility Criteria and Reward set forth in this Section C shall apply when the Referrer has an existing investor account on the goPeer Platform and the Referee does not have an existing account on the goPeer Platform at time of referral.

Eligibility:

• Referrer’s account must be Verified prior to making a referral, and in Good Standing.
• Referee must be approved and have an active loan on goPeer, and maintain a Good Standing until after the first payment due date.
• The Referee is not a resident of Manitoba or Québec

Reward:

• $30 Reward which will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• Each of the Referrer and Referee will receive the Reward.
• No alternative or substitution will be made for Rewards awarded as part of this Referral Program.

Claiming Earned Rewards:

• The Reward will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• The Referee’s Reward will be added to their subsequent loan payment after the satisfaction of all eligibility criteria, provided that such account is in Good Standing.
  • Example:
    • Payment (no Reward): $100 ($10 interest + $90 principal)
    • Payment (with Reward): $130 ($10 interest + $90 principal + $30 principal paid by goPeer)
• The Referrer’s Reward may be used to purchase Notes or can be withdrawn from such Referrer’s account and into the bank account at such financial institution that is linked on the Referrer’s goPeer account.

D. BORROWERS REFERRING INVESTORS

In addition to the General Terms and Conditions, above, the Eligibility Criteria and Reward set forth in this Section D shall apply when the Referrer has an existing borrower account on the goPeer Platform and the Referee does not have an existing account on the goPeer Platform at time of referral.

Eligibility:

• Referrer’s account must be Verified prior to making a referral, and in Good Standing.
• The Referee must fund their account on goPeer’s platform with a minimum of $1,000 and purchase at least $1,000 in Notes (as defined in the offering memorandum of Peer Capital Corporation) within 180 days of the date that such Referee’s account is Verified.

Reward:

• $30 Reward which will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• Each of the Referrer and Referee will receive the Reward.
• No alternative or substitution will be made for Rewards awarded as part of this Referral Program.

Claiming Earned Rewards:

• The Reward will be automatically added to each of the Referrer and Referee’s account upon satisfaction of all eligibility criteria.
• The Referrer’s Reward will be added to their subsequent loan payment following the satisfaction of all eligibility criteria, provided that such account is in Good Standing.
  • Example:
    • Payment (no Reward): $100 ($10 interest + $90 principal)
    • Payment (with Reward): $130 ($10 interest + $90 principal + $30 principal paid by goPeer)
• If the Referrer has no active loan on the goPeer platform, the Reward will be added onto their goPeer account and may be withdrawn from such Referrer’s account and into the bank account at such financial institution that is linked on the Referrer’s goPeer account.
• The Referee’s Reward may be used to purchase Notes or can be withdrawn from such Referee’s account and into the bank account at such financial institution that is linked on the Referee’s goPeer account.
