Important: Complete your update by August 31, 2026
All investors must complete the updated Know Your Client (KYC) and suitability questionnaire by August 31, 2026.
Beginning September 1, 2026, accounts that have not completed the update will be unable to make new investments, either manually or through Auto Invest. Investing can resume once the required information has been completed and any necessary review has been resolved.
This restriction applies to new investments. It does not change the terms of notes you already hold.
Why is goPeer updating the investor experience?
We have introduced a new investor suitability framework and redesigned the investor dashboard.
These changes provide greater visibility into your portfolio and how it compares with your assigned risk profile. They also support Peer Securities’ obligations as a registered exempt market dealer to understand each investor’s financial circumstances and assess whether investments made through goPeer remain suitable.
The new experience includes:
- A more comprehensive suitability questionnaire
- A clearly defined investor risk profile
- Portfolio allocation limits based on your risk profile
- A platform-level concentration limit
- Enhanced portfolio and diversification reporting
What do I need to do?
Log in to your goPeer account and follow the prompt to update your KYC and suitability information.
Please provide complete and accurate information. Once submitted, your account will be migrated to the new investor experience.
To avoid an interruption to your ability to invest, complete the update by August 31, 2026.
What happens if I do not complete the update by August 31?
Beginning September 1, 2026, you will not be able to make new investments until the update has been completed and any necessary review has been resolved.
This means:
- Manual investments will be restricted
- Auto Invest will not purchase new notes
- The contractual terms of your existing notes will not change
Why do I need to complete the suitability questionnaire again?
Registered dealers are required to obtain and periodically update information about their clients.
The new questionnaire collects more detailed information to help us understand your financial circumstances, investment objectives, liquidity needs, risk tolerance and ability to absorb potential investment losses.
Even if your circumstances have not changed, you must complete the new questionnaire because it includes information that may not have been collected previously.
You should also update your information whenever your circumstances materially change.
What information will I be asked to provide?
The questionnaire includes information such as:
- Your income and financial circumstances
- Your liquid and illiquid financial assets
- Your liabilities
- Your anticipated liquidity needs
- Your investment objectives and time horizon
- Your investment knowledge and experience
- Your risk tolerance
- Your ability to absorb potential investment losses
This information is used to assess whether investing through goPeer remains suitable for you.
What is a risk profile?
Your risk profile is determined from the information you provide during the suitability process.
It considers both:
- Risk tolerance: your willingness to accept investment risk and potential losses
- Risk capacity: your financial ability to withstand potential losses
Your financial circumstances, investment objectives, time horizon and liquidity needs are also considered.
Investors are assigned one of five risk profiles:
- Conservative
- Moderately Conservative
- Balanced
- Moderately Aggressive
- Aggressive
What are the allocation limits for each risk profile?
The following table shows the maximum portion of your goPeer portfolio that may be allocated to each loan grade:
| Investor risk profile | Grade A |
Grade B |
Grade C |
Grade D |
Grade E |
|---|---|---|---|---|---|
| Conservative | 100% |

These are maximum limits, not target allocations or recommended portfolios. Individual investments remain subject to all applicable suitability and concentration requirements.
How does my risk profile affect my investments?
Your risk profile determines the maximum percentage of your goPeer portfolio that may be invested in higher-risk loan grades.
For example, a Balanced investor may invest:
- Up to 35% in Grade C notes
- Up to 10% in Grade D notes
- Up to 7.5% in Grade E notes
You are not required to invest up to these limits. You may choose a more conservative allocation, such as investing entirely in Grade A and Grade B notes.
Being permitted to invest in a particular grade does not mean that an individual note is risk-free or recommended.
Are these allocation limits investment recommendations?
No. The limits are not recommended allocations, model portfolios or performance targets.
They represent the maximum exposure permitted under each risk profile. You remain responsible for deciding whether to invest, subject to the suitability and concentration limits applied to your account.
Will Auto Invest follow these limits?
Yes. Auto Invest will apply your assigned risk profile and the platform-level concentration limit when purchasing notes.
If a proposed purchase would exceed an applicable limit, it will not be completed. If you have not completed the required KYC and suitability update by August 31, Auto Invest will stop purchasing new notes beginning September 1.
What is the 10% concentration limit?
New investments will be limited so that the aggregate amount you have invested through goPeer does not exceed 10% of your net financial assets.
Your net financial assets are calculated using the financial assets and liabilities reported in your most recent KYC and suitability information.
This limit is intended to help manage the concentration and liquidity risks associated with allocating too large a portion of your financial assets to investments available through a single platform or issuer.
The 10% limit is a maximum, not a recommended allocation or investment target. If your goPeer investments are already at or above the limit, you will not be able to make additional investments unless your allocation falls below the limit or updated information results in a reassessment.
Can I choose a different risk profile?
No. Your risk profile is determined through our suitability assessment using the information you provide.
Please answer the questionnaire completely and accurately. If your circumstances materially change, you can update your information and your risk profile may be reassessed.
A higher risk profile does not guarantee access to any particular investment or loan grade.
What happens if my existing portfolio exceeds my new limits?
The update will not automatically sell or change the terms of notes you already hold.
Your dashboard will show how your existing portfolio compares with your assigned limits. Future manual and Auto Invest purchases will be assessed against your risk profile and the platform-level concentration limit.
If your portfolio exceeds an applicable limit, certain new purchases may be restricted until your allocation returns within the permitted range.
What is new in the investor dashboard?
The redesigned dashboard provides additional insight into your portfolio, including:
- Your assigned risk profile
- Your portfolio allocation compared with your profile limits
- Your allocation by loan grade
- Diversification by province
- Diversification by borrower industry
- Your allocation to goPeer relative to your applicable concentration limit
These enhancements are intended to make it easier to understand how your portfolio is positioned and how it changes over time.
Why do I not see the new dashboard yet?
The new investor experience is being rolled out in stages.
After you submit your updated KYC and suitability information, your account will migrate. We may contact you if clarification or additional information is required.
Does this change my existing investments or returns?
The update does not change the interest rates, maturity dates or other contractual terms of notes you already hold.
Actual returns are not guaranteed and remain subject to borrower payments, defaults, recoveries and other investment risks. Because future purchases will be subject to the new limits, the composition and performance of your portfolio may change over time.
I have additional questions. Who should I contact?
If you have questions about the suitability update, your risk profile, your allocation limits or the redesigned dashboard, please contact the goPeer team at invest@gopeer.ca. We will be happy to explain the changes and how they apply to your account.
